Somiits App Terms and Conditions
Effective Date: July 2, 2025
PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING THE SOMIITS MOBILE APPLICATIONS AND SERVICES. BY ACCESSING OR USING ANY OF THE SOMIITS APPS (CUSTOMER APP, PROVIDER APP, OR SERVICEMAN APP) OR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS, OUR PRIVACY POLICY, CANCELLATION POLICY, AND REFUND POLICY. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT ACCESS OR USE THE SERVICES.
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Somiits, operated by [Your Company Name, if different from Somiits, and specify legal entity type, e.g., "SUMELTEX COMPANY LIMITED"], located at Plot 90 Kudirat Abiola Way Oregun Ikeja - Nigeria (NG) ("Somiits," "we," "us," or "our").
Note: The entire Somiits system has been developed by Apponeer.
1. Definitions
Somiits Apps/Platform: Refers collectively to the Somiits Customer App, Provider App, and Serviceman App, and any associated websites, interfaces, or technologies provided by Somiits.
Customer: An individual who uses the Somiits Customer App to request, bid on, or book services.
Provider: A business entity or individual registered on the Somiits Provider App who offers services and manages servicemen.
Serviceman: An individual assigned by a Provider to perform services for Customers, using the Somiits Serviceman App.
User/You: Refers to Customers, Providers, and Servicemen collectively, or any individual accessing or using the Somiits Platform.
Services: The professional and handyman services offered, booked, and performed through the Somiits Platform.
Booking: An agreement between a Customer and a Provider for the performance of specific Services.
Content: Any text, graphics, images, music, software, audio, video, information, or other materials posted, uploaded, published, submitted, or transmitted through the Somiits Platform.
Account: The user account created by you to access and use the Somiits Services.
Applicable Laws: All laws, regulations, and judicial decisions applicable in Nigeria, including but not limited to the Nigeria Data Protection Act 2023, Federal Competition and Consumer Protection Act (FCCPA) 2018, and Cybercrime Act 2015.
2. Acceptance of Terms
2.1. By creating an Account, accessing, or using any part of the Somiits Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy, Cancellation Policy, and Refund Policy.
2.2. If you are using the Services on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and in such event, "you" and "your" will refer to that entity.
2.3. Somiits reserves the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on the Somiits Apps or website, and by updating the "Effective Date" at the top of these Terms. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.
3. Eligibility and Accounts
3.1. Eligibility: You must be at least 18 years old and capable of forming a binding contract under Nigerian law to register for an Account and use the Services.
3.2. Account Registration: a. To access certain features of the Services, you must register for an Account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. b. You are responsible for maintaining the confidentiality of your Account password and are fully responsible for all activities that occur under your Account. You agree to notify Somiits immediately of any unauthorized use of your password or Account or any other breach of security. Somiits will not be liable for any loss or damage arising from your failure to comply with this Section.
3.3. Specific Account Types: a. Customer Accounts: For individuals seeking services. b. Provider Accounts: For businesses or individuals offering services. Providers must provide verifiable business registration details and other necessary documentation as requested by Somiits. c. Serviceman Accounts: For individuals who are assigned by registered Providers to perform services. Servicemen must adhere to the Provider's policies and these Terms. Somiits may require servicemen to provide personal identification and undergo background checks (with explicit consent) for verification purposes.
4. How the Somiits Platform Works
4.1. Service Booking: a. Customers: Can browse, search for, request, or bid on various services listed by Providers on the Customer App. Customers can review Provider profiles, ratings, and reviews before making a booking. b. Providers: Receive service requests or bids from Customers through the Provider App. Providers can accept, reject, or counter bids. Upon acceptance, the Provider is obligated to fulfill the service as agreed. Providers assign servicemen to jobs. c. Bidding System: The Platform allows Customers to propose a price for a service, and Providers can accept, counter, or decline the bid. The final price and terms are agreed upon between the Customer and Provider through the Platform.
4.2. Service Delivery: a. Providers are responsible for ensuring that their assigned servicemen attend the service location at the agreed time and perform the service to a professional standard. b. Servicemen use the Serviceman App to receive job details, navigate to the customer's location, update job status, and communicate with the Provider and, where necessary, the Customer. c. Customers are responsible for providing safe access to the service location and accurate information necessary for the service.
4.3. Payments: a. All payments for Services booked through Somiits are processed securely via third-party payment gateways. Somiits does not store your full payment card details. b. Payment terms, including upfront payments, milestone payments, or post-service payments, will be clearly communicated at the time of booking. c. Service Fees: Somiits may charge a service fee for facilitating connections between Customers, Providers, and Servicemen. Any such fees will be clearly disclosed to you before you confirm a booking or accept a job. d. Payouts to Providers/Servicemen: Payouts to Providers (and subsequently to Servicemen by Providers) will be processed according to the agreed payment schedules, subject to any deductions for Somiits service fees, taxes, or cancellation charges.
4.4. Ratings and Reviews: a. Somiits provides a system for Customers to rate and review Providers and completed services. b. You agree that all ratings and reviews provided will be honest, accurate, and fair. Somiits reserves the right to remove any content deemed abusive, defamatory, or in violation of these Terms.
5. User Responsibilities and Conduct
5.1. Accuracy of Information: You are solely responsible for the accuracy of all information you provide on the Somiits Platform, including your personal details, service descriptions, pricing, and availability.
5.2. Compliance with Laws: You agree to comply with all Applicable Laws in your use of the Somiits Platform and Services, including but not limited to consumer protection laws, tax laws, and privacy laws.
5.3. Prohibited Conduct: You agree not to: a. Use the Services for any unlawful purpose or in any way that violates these Terms. b. Engage in any fraudulent, deceptive, or misleading activity. c. Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity. d. Post, transmit, or otherwise make available any Content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable. e. Engage in any activity that disrupts or interferes with the Services or servers or networks connected to the Services. f. Attempt to circumvent any payment or fee structure imposed by Somiits, including attempting to take bookings offline to avoid fees. g. Use the Services to advertise or solicit for any services not offered through the Somiits Platform. h. Collect or store any personally identifiable information from the Services without the express consent of the data subject. i. Copy, modify, distribute, sell, or lease any part of our Services or included software.
5.4. Specific Responsibilities: a. Customers: Must provide clear service instructions, ensure a safe working environment, and make timely payments. b. Providers: Must possess the necessary licenses, permits, and skills to provide the advertised services, ensure their servicemen are qualified, and honor agreed-upon bookings and prices. c. Servicemen: Must perform services diligently, professionally, and safely, and represent their assigned Provider accurately.
6. Payments and Fees
6.1. Payment Authorization: By adding a payment method to your Account or initiating a payment, you authorize Somiits and its third-party payment processors to charge your selected payment method for all applicable fees and charges.
6.2. Disputes: Any payment disputes must be raised with Somiits Support within a reasonable timeframe (e.g., 48 hours of service completion for service-related issues). We will mediate disputes between Customers and Providers/Servicemen regarding payment for services.
6.3. Taxes: You are responsible for all applicable taxes arising from your use of the Services, including but not limited to value-added tax (VAT) and income tax. Providers are responsible for their own tax compliance related to earnings generated through the platform.
7. Cancellation, Refunds, and Disputes
7.1. Cancellation Policy: All cancellations are governed by our dedicated Cancellation Policy, which outlines specific timelines and potential charges/refunds for cancellations initiated by Customers or Providers. You agree to adhere to this policy.
7.2. Refund Policy: All refunds are governed by our dedicated Refund Policy, which outlines the conditions under which customers are eligible for full or partial refunds for paid services. You agree to adhere to this policy.
7.3. Dispute Resolution (General): a. In the event of a dispute between users (Customer, Provider, Serviceman) or between a user and Somiits, we encourage amicable resolution through direct communication. b. If direct resolution fails, users may escalate the dispute to Somiits Support for mediation. Somiits will review the facts and strive for a fair resolution in line with these Terms and our policies. Somiits' decision on such disputes will be final and binding. c. Nothing in this clause limits your rights under the Federal Competition and Consumer Protection Act (FCCPA) 2018 or other Applicable Laws.
8. Intellectual Property
8.1. Somiits Content: All Content on the Somiits Platform (excluding User-Generated Content) including text, graphics, logos, images, software, and the compilation thereof, is the property of Somiits or its licensors and is protected by copyright, trademark, and other intellectual property laws.
8.2. User-Generated Content: a. You retain ownership of any Content you submit, post, or display on or through the Services. By submitting, posting, or displaying Content, you grant Somiits a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and publicly display such Content in connection with the Services and Somiits' (and its successors' and affiliates') business, including for promoting and redistributing part or all of the Services (and derivative works thereof) in any media formats and through any media channels. b. You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to your User Content and to grant the rights and licenses contained herein.
9. Disclaimers and Limitation of Liability
9.1. Platform as a Facilitator: Somiits is a technology platform that facilitates connections between Customers, Providers, and Servicemen. Somiits does not directly provide services or employ servicemen. The contract for the provision of services is directly between the Customer and the Provider.
9.2. No Warranty: The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Somiits does not warrant that the Services will be uninterrupted, error-free, or secure.
9.3. Provider/Serviceman Verification: While Somiits may conduct identity verification and background checks on Providers and Servicemen, this is for informational purposes only and does not constitute an endorsement or guarantee of their reliability, qualifications, or the quality of their services. Users are solely responsible for exercising due diligence when engaging with other users.
9.4. Limitation of Liability: To the fullest extent permitted by Applicable Laws, Somiits shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Services; (b) any conduct or Content of any third party on the Services, including without limitation, any defamatory, offensive, or illegal conduct of other users or third parties; (c) any Content obtained from the Services; or (d) unauthorized access, use, or alteration of your transmissions or Content.
9.5. Total Liability: In no event shall Somiits' total liability to you for all damages, losses, and causes of action exceed the amount paid by you to Somiits for the specific service giving rise to the claim, or NGN 10,000 (Ten Thousand Naira) if no such payment has been made.
10. Indemnification
You agree to indemnify, defend, and hold harmless Somiits, its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that arise from your use of the Services, your violation of these Terms, or your violation of any rights of a third party, including other users.
11. Termination
11.1. Termination by You: You may terminate your Account at any time by contacting Somiits Support. Termination will be effective upon verification of your request and completion of any outstanding obligations.
11.2. Termination by Somiits: Somiits may terminate or suspend your access to all or part of the Services immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach these Terms. Reasons for termination may include, but are not limited to: a. Violation of any of these Terms or other policies. b. Engagement in fraudulent or illegal activities. c. Repeated poor service delivery or cancellations (for Providers/Servicemen). d. Creating a risk or possible legal exposure for Somiits or other users. e. Failure to pay fees.
11.3. Effect of Termination: Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
12. Governing Law and Jurisdiction
12.1. These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.
12.2. Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, shall be exclusively settled by the courts located in Lagos State, Nigeria.
13. Data Protection
13.1. Your use of the Somiits Platform is also governed by our Privacy Policy, which outlines how we collect, use, store, and protect your personal data in accordance with the Nigeria Data Protection Act 2023.
13.2. By using the Services, you consent to the processing of your personal data as described in our Privacy Policy.
14. Miscellaneous
14.1. Entire Agreement: These Terms, together with the Privacy Policy, Cancellation Policy, and Refund Policy, constitute the entire agreement between you and Somiits regarding the use of the Services.
14.2. Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
14.3. No Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Somiits' failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
14.4. Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without Somiits' prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and void. Somiits may assign or transfer these Terms, at its sole discretion, without restriction.
14.5. Force Majeure: Somiits shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including, without limitation, acts of God, war, terrorism, riots, embargos, acts of civil or military authorities, fire, floods, accidents, strikes or shortages of transportation facilities, fuel, energy, labor or materials.
